Specialist Service Terms_

Last Updated: 23.09.2026

These Specialist Service Terms apply to you as a service provider (“Specialist”) on FACET, in addition to our Terms of Service. They are the same terms you accept when you apply through Specialist onboarding. The platform is operated by keysa gaan OÜ, Estonian registry code 17531664, registered office Pallasti tn 33-154, Lasnamäe linnaosa, Tallinn, Harju maakond, 11416, Estonia.

1. Platform Overview

FACET is an AI services marketplace connecting specialists with clients internationally. As a specialist, you will provide AI-related services including but not limited to machine learning development, data analysis, NLP, computer vision, and AI consulting.

2. Specialist Eligibility and Restrictions

Before you apply to offer services on FACET, confirm that all of the following apply to you. You must be at least 18 years old. You must not be located in, or ordinarily resident in, a country or region subject to applicable trade or financial sanctions — currently Russia, Belarus, Iran, North Korea, Syria and Cuba — which we enforce at registration, at sign-in and on every page request, using the country of your email domain, the country of your phone number, and the country your connection resolves to. You must be legally able to work as an independent contractor in your own country and to enter into a binding contract. You must be able to provide a valid passport or national identity document and a proof of address, both in your own name. You must genuinely hold the skills you list on your profile, and offer only services you are qualified to perform. If you do not meet these requirements you may not offer services on FACET, and if you stop meeting them we may pause your listing or close your account.

3. Verification Before You Can Offer Services

Specialist applications are reviewed by a person before your profile can take on work. The steps, in order, are: (1) read and accept these terms in full — the acceptance checkbox only unlocks once you have scrolled to the end; (2) complete your profile, giving your first and last name, a biography, your hourly rate (between 25 and 500 credits), your years of experience, up to five skills, and optionally portfolio, LinkedIn and GitHub links; (3) upload a passport or identity document and a proof of address — both are required, and accepted as JPEG, PNG or PDF up to 10MB; (4) pass a multiple-choice assessment drawn from your skill areas, which is scored on our servers, not in your browser; (5) complete a practical test task, submitted as written work of at least 200 characters; and (6) wait for review, in which a member of our team opens the identity document and proof of address you uploaded, reads your test submission, and then approves or rejects your application. The decision is made by a person, not automatically. Your profile is not available for matching and cannot be hired until it is approved. We may ask for further documents at any time. To be clear about what approval is not: we do not run an automated identity-verification service, a credit check or a criminal record check, and we do not independently verify your portfolio, your links or your employment history. Approval means we reviewed the documents and the work you gave us — it is not a guarantee of your work to any client.

4. Specialist Obligations

You agree to provide high-quality work, meet agreed deadlines, maintain professional communication with clients, and keep client information confidential. All deliverables must be original and not infringe on any third-party intellectual property rights.

5. Quality Standards

FACET maintains strict quality standards. You agree to deliver work that meets or exceeds the requirements specified in each task. Repeated failure to meet quality standards may result in account suspension or removal from the platform.

6. Payment Terms

Payments are processed through the FACET credit system (10 credits = $1 USD). You will receive 80% of the task price the client accepted, with 20% retained as a platform fee. Your share is credited to your FACET wallet when you mark the task as completed.

7. Response Times

You agree to respond to task assignments within 24 hours and provide regular progress updates to clients. If you are unable to complete a task, you must notify the platform and the client as soon as possible.

8. Intellectual Property

Unless otherwise specified in the task agreement, all deliverables created for clients become their property upon payment. You retain the right to use general knowledge and techniques gained during projects.

9. Confidentiality

You agree to maintain the confidentiality of all client data, business information, and proprietary materials shared during projects. This obligation continues even after your relationship with FACET ends.

10. Availability

You are responsible for keeping your availability status accurate on the platform. If you need to pause accepting new tasks, update your status promptly to avoid assignment conflicts.

11. Dispute Resolution

In case of disputes with clients, FACET will act as a mediator. Both parties agree to cooperate in good faith to resolve disputes. FACET's decision in dispute resolution is final.

12. Code of Conduct

You agree to maintain professional behavior at all times. Harassment, discrimination, or any form of unprofessional conduct towards clients or other specialists is strictly prohibited.

13. Regulatory Status and Disclaimers

FACET is a trading name of keysa gaan OÜ, which operates the platform as an online marketplace. We are not a bank, an e-money institution, a payment institution or an employment agency, and we are not authorised or supervised as a provider of regulated financial services. We introduce you to clients and settle payment on their behalf; the service contract is between you and the client, and we are not a party to it. Payouts settle amounts you have already earned, are reviewed by our team, and are not instant or automatic; they are not wages, and nothing in these terms creates an employment, agency or partnership relationship between you and keysa gaan OÜ. You are responsible for your own tax, social contributions, business registration, insurance and professional licensing, and where the work you accept is regulated in your country or the client's, you must hold whatever licence or registration that regulation requires. We apply sanctions screening and identity checks to meet our obligations under Estonian and EU law, and may refuse, delay or reverse a payout, or close an account, where we reasonably believe that is necessary to comply with them.

14. Platform Changes

FACET reserves the right to modify these terms with reasonable notice. Continued use of the platform after changes constitutes acceptance of the updated terms.

15. Termination

Either party may terminate this agreement with 30 days written notice. Outstanding payments for completed work will be processed regardless of termination. FACET reserves the right to immediately terminate accounts that violate these terms.
